Our terms and conditions

We (Spyre Limited) supply graphic design and creative artwork to our clients (that’s you) for print, web and display. We source and manage additional skills such as photography, copy writing and illustration where necessary. We also purchase print, merchandise and vinyl graphics and can project manage these tasks on your behalf which will be billed to you by Spyre Limited. We do not share our suppliers and partners contact details with our clients as we often source the most appropriate supplier for each project on an individual basis – this is often the most cost-efficient route.

All design work carried out by Spyre Limited is on the understanding that the client has agreed to these terms and conditions in full.

Collaborating with your specified third party suppliers

If you commission us to work with your own suppliers, examples are: printers, web developers, copy writers, illustrators, architects, photographers. We will charge our liaison time with them at our hourly rate. This arrangement will mean that you (the client) are responsible for time and materials costs, amendments and additional work generated by your supplier.

What you are buying

You are purchasing one final piece of creative graphic design based upon the written information received from you or members of your staff.

You are commissioning work from a professional designer. We expect new clients to have examined our portfolio and are happy with the quality and professionalism shown. Implementation of a client’s own designs following completion of our initial presentation will be considered a re-brief and may affect the final price accordingly.

For printed work, high resolution print ready PDF files will be available to you. You may supply these files to other designers and printers and use them however you wish. You will need to archive them within your own system as we may not store them indefinitely.

What you are not buying

You may be presented with several options en-route to the final design – these additional options do not form part of our agreement and may incur an additional charge. If you wish to use them elsewhere this will require our written consent.

Our working files such as layered Photoshop documents, native Illustrator and InDesign files or bespoke code remain the property of Spyre Limited and do not form part of our agreement. If you wish to receive working files please let us know prior to commissioning the work, or by requesting a quotation, and we will include an additional fee for providing the working files of the finished piece if we agree to supply them. We will not provide every iteration or translate the files into alternative formats.

Projects and artwork created by Spyre Ltd must never be presented for sale or download without our explicit written permission. Examples may be, but not limited to: presented as online templates, sold in digital stock libraries or made available on any digital marketplace.

Fonts, music and library images purchased by Spyre Limited will not be supplied to clients or third parties as they are subject to copyright and licensing laws beyond our control. We can supply references and links for clients to purchase or download them directly.

Archiving, dearchiving and general administration

At our discretion we voluntarily archive projects for up to five years at no charge. Should a customer require us to maintain a dedicated digital archive of their past projects, we will require a written request to this effect. Requested digital archiving will incur a charge of £50 per year for file storage and back-up services.

All projects are presented to clients with a unique job reference number. This number is included in the title of files and also on our invoices. It is the client’s responsibility to retain the job number for future reference to enable us to locate a past project for any purpose. A fixed administration fee of £50 will apply should the job number reference not be presented.

Supply of logos, design visuals, print-ready PDFs, previous print quantity data, or any other assets that have been previously supplied, will incur a minimum charge of £50 per request unless they are required assets of a new project completed directly, and in its entirety, by Spyre Ltd.

Spyre payment for creative and print services

Our first business with a new client will require payment immediately upon completion of each stage outlined within the estimate. Subsequent credit terms may be agreed with prior consent only, up to 30 days maximum, credit will only be agreed for UK-based clients. We reserve the right to cancel credit terms should late payments occur.

You may pay by bank transfer or business cheque payable to Spyre Limited.

We are VAT registered and are required to charge VAT at the prevailing rate (Registered number: GB 731 7543 38).

All works remain the property of Spyre Limited until payment has been made in full. We reserve the right to withhold delivery of final files until payment has been received.

Payments received from customers outside the UK

All bank, transaction or currency fees must be paid directly and in full by the customer. We suggest that customers consider W ise for a cost-efficient currency transfer. Credit is not available for clients outside of the UK. Clients are required to provide their VAT number prior to commencement of work otherwise UK VAT will be charged and cannot be refunded.

Spyre Host payment for online services

Spyre offer hosting services for websites and emails. We can manage and purchase domains on behalf of our clients, we also bill for extensions, plug-ins and other custom products available on our hosting packages. These subscription-based services are available via Spyre Host and payment is due on receipt of invoice only. Costs are subject to exchange rate fluctuations and we reserve the right to adjust the final figure accordingly.

All payments must be made to Spyre Limited by bank transfer as standard. Stripe or PayPal may be also be offered and are subject to their fees.

Late payment and overdue invoices

Under the Late P ayment of Commercial Debts (Interest) Act 1998 and subsequent amendments, UK businesses are entitled to charge statutory interest at 8% above the Bank of England base rate, plus fixed compensation for debt recovery.

For example purposes: if the Bank’s base rate is 4.75% (effective 1 January–30 June 2025), statutory interest is 12.75% p.a. Interest accrues daily from the day after the due date.

Late payment fees will be calculated as follows: Total amount owed × 12.75% ÷ 365 × 60 days. Plus £40 compensation.

Responsibilities

When we have the go-ahead to produce work for you we will require a written brief outlining the requirements for your job. All known facts need to be specified if they are to be included and delivered within the creative budget.

It is the client’s responsibility to ensure their staff have the authority to place orders with Spyre Limited.

We work on a time and materials basis, at your request we will supply an estimate outlining costs for known elements of the job. This estimate allows for any supplied information to be supplied efficiently. Typing in copy or deciphering complicated spreadsheets will be charged additionally by the hour. Un-estimated work will be carried out at the current hourly rate plus VAT.

We take pride in the quality of our artwork and are extremely conscientious. However, proof reading is the responsibility of the client. We can provide an estimate for professional proof reading services if required.

Additional expenses may be applied for any necessary service, including, but not limited to, art direction and photography, image searches, media conversion, digital image processing, data entry services. Bespoke coding and ongoing maintenance to online services will incur charges at the prevailing hourly rate, these may include but are not limited to, algorithm changes, plug-in and software updates.

Spyre Limited hold no responsibility for web development, printing or other services sourced and employed by the client.

Amendments

The customer agrees that requested revisions that are over and above the estimated work, or required to be carried out after acceptance of the draft design, will be liable to a separate charge. Spyre Limited holds no responsibility for any amendments made by any third party, before or after a design is published.

Timescales

Any indication given by Spyre Limited of a completion date of a project is to be considered by the customer to be an estimation. Estimated project duration should be deemed to be from the date that a written brief, purchase order or other instruction is received by Spyre Limited.

A design project is considered complete upon receipt of the customer’s emailed or written approval. Printed projects may incur additional charges if amendments are made after the file has been approved for print by the client. Changes that do not allow enough time to be proofed are at the client’s risk.

The customer grants Spyre Limited permission to use our design work freely in our portfolio, on our website or on our social media unless specifically requested otherwise.

Licensing and legals

The customer is responsible for ensuring all copyright and usage permissions has been obtained when supplying photography, illustration or any other works to Spyre Limited.

Spyre Limited is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold Spyre Limited responsible for any such loss or damage. Any claim against Spyre Limited shall be limited to the relevant fee paid by the customer.

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Spyre Limited reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.

Cancellations

Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, Spyre Limited will need formal notification in writing. Spyre Limited will then issue an invoice for all work completed including print that has been ordered. The balance must be paid within 14 days.
